Terms of use

Welcome to MAKEDEAL! Here we create an environment for the best interaction of recruitment teams and facilitation of the candidate search process. We hope your experience with Makedeal will be enjoyable!

These Terms of Use (“Terms”) are a legal agreement between you and FreySoft Poland LLC, a Poland company (“we”, “Platform”, “Makedeal”) and govern your access and use of the functionality of our application, extension and website found at https://app.makedeal.io (hereinafter collectively “Platform”) and any content appearing on the Platform.

BY ACCESSING OR USING THE PLATFORM AND THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE WITH THESE TERMS OR ANY CONDITIONS HEREOF, YOU SHALL NOT ACCESS AND USE THE PLATFORM AND THE SERVICES. THESE TERMS SHOULD BE READ IN CONJUNCTION WITH MAKEDEAL’S PRIVACY POLICY. THE HEADINGS CONTAINED IN THESE TERMS ARE FOR REFERENCE PURPOSES ONLY.

We encourage you to review these Terms of Use carefully as any use of our services, website, application and extension and any information and content included therein is subject to the terms and conditions set forth herein.

1. General

Definitions.The terms included herein shall be interpreted with the following meaning:

Application shall mean a mobile application available for iOS/Android users on the relevant app stores, by downloading and using which you can access our Services.

Site shall mean the website at https://app.makedeal.io and its subdomains where you can familiarize yourself with our Services and get access to them.

Extension shall mean a browser extension that enables your use of certain functionalities of our Platform. For the purposes of these Terms, browsers include Chrome, Firefox, Safari, and Edge. If we develop any additional browser extensions their use shall be subject to these Terms..

Account shall mean your personal account on the Platform using which you can access and use our Services.

Visitor shall mean a person who visits the Platform without creating an Account, e.g., visits our Site to inform itself on our Services.

Customer shall mean a person who uses the Platform through its Account to receive the Services described herein.

Services shall mean the Makedeal services made available via Makedeal’s proprietary software delivered through the Site, our Extension, and Application as described herein.

Candidate shall mean an individual whose data and CV has been uploaded by the Customer to enable the performance of the Services.

Candidate Data shall mean the information the Customer upload to the Platform in order to get the Services, e.g. name and CV.

Team shall mean a format of a permanent association of the Customers, usually a team of recruiters, to use the Platform under the conditions set out below.

Project shall mean a format of temporary cooperation of the Customers within the framework of one Vacancy.

Vacancy shall mean a set of requirements to a Candidate under a certain Project that the Customer creates of the Platform in order to use the Services.

Wherever used in these Terms, “you”, “your” or similar terms mean the person or legal entity whether solely visiting our Site or accessing and using the Services via Account.

Who We Are?

Makedeal is operated by FreySoft Poland LLC, a company registered and acting under the laws of Poland with its registered office at ul. HUMAŃSKA, nr 8, lok. ---, miejsc. WARSZAWA, kod 00-789, poczta WARSZAWA, kraj POLSKA.

Eligibility

Our Platform and Services are intended to be used by individuals who are at least 18 years old. By accessing and using the Platform and Services, you represent and warrant that you have the right, authority, and legal capacity to enter into these Terms and to abide by all of the terms and conditions hereof.

Likewise, if you are acting on behalf of a company or other legal entity while accessing and using the Platform and Services, you represent and warrant that you have the right and authority to enter into these Terms on that entity’s behalf and bind it to the terms and conditions hereof.

Changes and Revisions

We reserve the right, at any time and at our sole discretion, to update, modify, change or replace these Terms of Use, including adding paid functionalities. If we update the Terms, we will post the revised version on the Site or send a notice to the email address associated with you.

We will make reasonable efforts to inform you in advance of any material changes, but it is your responsibility to review the Terms from time to time and keep yourself updated. Continued use of the Platform and Services after changes come into force shall constitute your acknowledgement and agreement to be bound by the revised Terms.

2. Our Services

Description of the Services

Makedeal offers the Platform for automation of some aspects of recruitment processes, allowing you to create an environment to identify professionals who best match the Vacancy requirements based on the Candidate Data you provide and to make the search process more efficient. We provide you with access to the functionality of the Platform (“Services”) on the terms hereof.

You may visit our Site and inform yourself about Makedeal offerings and see the publicly available content of the Site without signing up, as aVisitor.

However, the Services themselves are accessible via Account only. Hence, you need to authorize as aCustomer in order to access the following functionality of the Platform:

to create and work with Teams and Projects;
to create Vacancies and match them with the Candidate Data you upload;
to see the statistics of other Recruiters of your Team or Project;
to get the score of the Candidates’ CVs based on the Vacancy requirements;
to send pre-drafter communications through the Platform;
other Services which may be available on the Platform.

Teams. Any Customer may create the Team and invite other Customers to join it. The Customer who creates the Team is assigned an “admin” status and therefore can manage the Team structure and assign different roles to the Team members.

The Customers in the Team can see the statistics of other Team members generated based on the number of Customers’ interactions with the Candidates on the third-party platforms (“Statistics”). Team members may create and share the pre-drafted communications and share the Projects they work on.

Projects. Any Customer may create the Project and invite other Customers to join it. The Project may be created within the Team or independently. The Customer who creates the Project is assigned an “owner” status and therefore can manage the Project structure and assign different roles to the Project members. Project members can upload CVs to match them with the relevant Vacancy, create and share the pre-drafted communications and see the Statistics.

Each Customer may create and/or be a member of an unlimited number of Teams and Projects.

Statistics. As previously stated, the Customers’ interactions with the Candidates (the profiles viewed on the third-party platforms, the number of communications sent to the Candidates via the Platform) are the basis for Statistics. Each member of the Team and/or Project can view the overall rating of co-members. Please note that Makedeal does not and will not store and/or have access to any content of communications sent via the Platform. We only see the number of interactions to provide you with Statistics and therefore update the ratings.

You can also access the overall rating of all the Makedeal Customers.

CV Scorings. Each CV you upload to the Platform is assessed based on the Vacancy requirements and accordingly scored. Since we process such information based solely on the information you provide, we hereby expressly disclaim any warranties as to the relevance, accuracy and reliability of the scoring.

Third-Party Platforms

Makedeal Services are enabled based on the information you provide us with, including information collected after your interaction with Candidates on third-party platforms, e.g. the name of such Candidate. Hence, some of the functionalities depend on the availability of such third-party platforms, and if these platforms cease access to the information, some Services will be restricted. We cannot be sure and therefore make no warranty as to the reliability or accuracy of third-party platforms information.

Updates

Please note that we reserve the right, at our discretion, to amend the scope of the Services, as well as to discontinue, or temporarily suspend the Services, impose limits on certain features of the Platform and Services, and modify or improve the user interface(s) and design at any time without prior notice. Any such updates or changes will be deemed part of the Services and subject to these Terms.

Cost of Services

We provide the Services and the functionalities of the Platform free of charge. This means the Services are available after you successfully register an Account and as long as you comply with these Terms. However, we expressly reserve the right to charge the Customers a fee for access to all or any part of the Platform and Services. We will notify you prior to any changes in our payments policy, fees and subscription options and terms by posting a revised version of these Terms.

3. Access and License

License. As long as you comply with these Terms and other rules provided to you by Makedeal, we grant you a worldwide, limited, nonexclusive, non-transferable, non-sublicensable, revocable right to access and use our Platform and Services for your benefit only solely for the internal non-commercial purposes of enhancement the recruitment process and facilitate team interaction in this regard, as provided in these Terms. This license does not include any right to resell Services, or otherwise make the Services available for third parties.

You agree that you will not copy, reproduce, modify, create derivative works from, or distribute any part of our Platform and Services. Access to and use of the Platform and Services does not give you any ownership of, or any other intellectual property interest in any part of the Platform and Services or any content including any specific functionalities and technologies of the Platform and Services (including past, present and future versions).

Unavailability. We use reasonable efforts to provide our Platform and Services on a permanent basis and without interruptions. Nonetheless, no web service could be completely secured from bugs and other errors. We expressly disclaim any liability with regard to the possible unavailability of the Platform or some of its functionalities.

Except for any planned or unscheduled maintenance, access to the Platform and/or Services may from time to time be unavailable, delayed, limited or slowed due to, among other things:

servers, networks, hardware failure (including your own device), telecommunication lines and connections, and other electronic and mechanical equipment;
software failure, including among other things, bugs, errors, viruses, configuration problems, incompatibility of systems, utilities or applications, the operation of screening programs, unreadable codes, or irregularities within particular documents or other content;
overload of system capacities;
damage caused by severe weather, earthquakes, wars, insurrection, riots, civil commotion, accident, fire, water damage, explosion, mechanical breakdown or natural disasters;
interruption (whether partial or total) of power supplies or other utility of service; strike or other stoppages (whether partial or total) of labor;
governmental or regulatory restrictions, court decisions or other external intervention;
or any other cause (whether similar or dissimilar to any of the foregoing) whatsoever beyond our control.

4. Account

Signing up

You need to sign up in order to access most of the functionalities of the Platform and the Services. You are welcome to create an Account by (1) filling in the registration form (i.e. provide us with your personal data) or (2) using your Microsoft, Facebook, Twitter, or LinkedIn account credentials. Please inform yourself about how we process your personal data in our Privacy Policy. Account registration is free of charge.

You shall provide reliable, complete and accurate information during the Account registration and keep your data up to date and complete. You are obliged to make appropriate changes to the Account information within a reasonable period of time from the moment your data changes (e.g., email address). We reserve the right to change the registration form and add new fields and accordingly, therefore, require you to provide additional information to us.

Access to Your Account

You are solely responsible for maintaining the secrecy of the login credentials to your Account. You are also responsible for all activities that occur under your login credential. We shall not be responsible for any loss or damages arising from your failure to maintain the confidentiality of your Account.

If you have any reason to believe any unauthorized access or use of your Account took place, or you become aware of any other known or suspected security breach, you shall notify us immediately and use all reasonable efforts to stop any unauthorized use or other infringements of the use of the Services.

You shall create only one Account and shall not share your password, give access to and/or transfer an Account to third parties.

Account Deletion

You may delete your Account at any time in your Account settings. Remember that we will store your information after your account deletion in accordance with our Privacy Policy and applicable laws. You may not close your Account to evade an investigation. You will remain liable for all obligations related to your Account even after the Account is closed.

We reserve the right to close your Account or suspend your Access to the Services in case of violation of these Terms and/or law requirements.

5. Your use of our Platform and Services

Lawful use

You may use the Platform and Services for your personal use or for internal business purposes in the organization that you represent. You agree to use the Platform and Services in compliance with these Terms and applicable local, national, and international laws, and regulations.

You warrant that your use of the Platform and/or Services does not infringe any third-party intellectual, privacy or other rights. We are not and shall not be held responsible for your use of the Platform and/or Services in a way that violates the law. Any fraudulent, abusive, or otherwise illegal activity may be grounds for closure of your Account or suspending your access to the Services.

You also agree to comply with data protection laws within any applicable jurisdiction when using our Services. You shall ensure that you have a lawful basis and right to collect and share Candidate Data and upload it to the Platform. You represent and warrant that the Candidate Data does not include categories of data subject to specific statutory obligations – such as, for example, health or financial data of individuals.

Prohibited use

By using the Platform and/or Services, you agree not to (nor attempt to):

engage in any activities related to the Platform and/or Services that violate any applicable law, statute, regulation, bylaw, internal company policy or breach these Terms or any other agreement or policy you have with us;
use the Platform and/or Services in a way or manner that violates or infringes upon, or otherwise misappropriates the intellectual property rights, rights to privacy, reasonable expectation of privacy, or any other rights of anyone else;
use the Platform and/or Services in order to develop, or create, or permit others to develop or create, a product or service similar or competitive to the Platform and/or Services;
license, sub-license, sell, re-sell, rent, lease, transfer, distribute or otherwise make any portion of the Platform and/or Services available for access by third parties except as otherwise expressly provided in these Terms;
modify, reverse engineer, decompile, disassemble, copy, or otherwise attempt to derive source code or other trade secrets from or about the Platform or any of Services or technologies except as expressly permitted elsewhere in these Terms, unless and then only to the extent permitted by applicable law without consent;
breach the security of the Platform and/or Services, or identify, probe or scan any security vulnerabilities in the Platform and/or Services;
violate the security of the Platform or attempt to gain unauthorized access to the Platform, data, materials, information, computer systems or networks connected to any server associated with the Platform;
use or attempt to use any scraper, robot, bot, spider, data mining, or any other automated device, program, tool, algorithm, process or methodology or manual process having similar processes or functionality, to access, acquire, copy, or monitor any portion of the Platform;
use any device, software, algorithm, file or other tool or technology, including without limitation any viruses, trojan horses, worms, time bombs or cancelbots, intended to damage or interfere with our Platform, or to surreptitiously intercept or expropriate any data from the Platform, or breach any security or authentication measures;
take any action that causes an unreasonable or disproportionately high load on the technical infrastructure of the Platform, including without limitation denial of service attacks, “spam” or any other such unsolicited overload technique;
collect data from the Platform either by authorized and not authorized ways through automated means (bots, spiders, scrapers or equivalent means), or by establishing fake user accounts or by anonymous proxy servers or equivalent measures, or by circumventing any technical measures to prevent forbidden activity on the Platform;
make unauthorized use of the Platform, including, in particular, unauthorized access to our systems or any other illegal use of any information contained on the Platform;
falsely state or otherwise represent an affiliation with a person or entity;
attempt, in any manner, to obtain the login credentials, or other security information from any other user of the Platform;
use the Platform and/or Services to send unsolicited emails, messages or other types of communications (“spam”);
use the Platform and/or Services in a manner that is unlawful, defamatory, libelous, harassing, harmful, fraudulent, deceptive; distributes malware; violates the security of any computer network, or cracks any passwords or security encryption codes.

We reserve the right to suspend or terminate your Account and access to the Services without prior notice, if we, at our sole discretion, believe that you have engaged in any of the actions stated above or any fraudulent or abusive use, or misuse, of the Platform and Services. The unauthorized or illegal use of the Platform and/or Services or any other breach of the Terms will be investigated and appropriate legal action, including, in particular, civil, criminal or other legal proceedings, may be applied to you.

6. Intellectual Property

Makedeal IP

The Platform and any intellectual property objects on the Platform including information, trademarks, logos, graphics, design, text, page content, visual interfaces, interactive features, button icons, scripts, compilations, source and object code and other matters to the Platform (“Makedeal IP”) are owned and controlled by us or one of our affiliates, or are licensed to us AND protected under applicable laws of Poland and international copyright, trademark, trade dress, patent, and other intellectual property rights laws and regulations to the fullest extent possible.

The copying, redistribution, modification, reproduction, distribution, sale, licensing, reverse engineering, decompilation, use or publication by you of any part of Makedeal IP, unless expressly permitted in these Terms, is prohibited.

Except for the limited license granted to you to use the Services under Section 8 hereof we do not grant to you or assign to you any license, right, title, or interest in or to the Services or any associated intellectual property rights.

Your IP and Feedback

You certify that you own or have secured all necessary intellectual property rights in the content that you upload to or otherwise use on the Platform when using our Services, namely any materials, images, logos, brand names, trademarks, and other intellectual property materials (“Your IP”). E.g., such Your IP may be uploaded when you create the Vacation or upload the Candidate CVs, create or upload emails drafts, etc.

Makedeal does not and shall not control or monitor Your IP and you remain solely responsible for Your IP compliance with these Terms and applicable law. You represent and warrant that you have all appropriate rights to all of Your IP and that uploading and/or creating, processing, sharing and other use of Your IP does not infringe or violate a third party’s intellectual, privacy, and other rights. Please be aware that if any of the above is detected, we reserve the right to close your Account or suspend your access to the Services.

You grant us with irrevocable, indefinite, non-exclusive, sublicensable, fully paid and worldwide license to use, reproduce, translate, and modify Your IP solely for the purposes of providing our Services to you.

You are welcome to share your suggestions, comments or other feedback (“Feedback”) on how to improve the Platform and Services. If you provide Feedback in any manner, you hereby assign to us all rights in the Feedback and agree that Makedeal shall have the right to use, exploit and disclose such Feedback and related information in any manner it deems appropriate, without any restriction or compensation to you. Your Feedback shall not create any confidentiality obligation for Makedeal.

7. Liability and Disputes

Warranty Disclaimers

YOU USE THE PLATFORM AND SERVICES AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE MAKE NO COMMITMENTS OR WARRANTIES ABOUT:

THE CONTENT, COMPLETENESS, RELIABILITY, ACCURACY OR AVAILABILITY OF THE SERVICES;
CORRESPONDENCE OF THE SERVICES TO YOUR EXPECTATIONS.

WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, QUALITY AND ACCURACY. WE DO NOT REPRESENT OR GUARANTEE THAT THE PLATFORM AND THE SERVICES WILL BE UNINTERRUPTED, TIMELY, COMPLETE, SECURE, OR ERROR-FREE AND DISCLAIM ANY LIABILITY RELATING THERETO.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, THAT YOU CAN POSSIBLY OBTAIN FROM US OR THROUGH THE SITE SHALL CREATE ANY WARRANTY, REPRESENTATION OR GUARANTEE NOT EXPRESSLY STATED IN THESE TERMS. WE SHALL NOT HAVE ANY LIABILITY FOR ANY FAILURE OR DELAY RESULTING FROM ANY CONDITION OF THE SITE BEYOND OUR REASONABLE CONTROL.

Platform Status

MAKEDEAL IS NOT A DATABASE, CRM OR INFORMATION STORAGE SERVICE. HENCE, MAKEDEAL HAS NO OBLIGATION TO MAINTAIN OR MAKE AVAILABLE A COPY OF ANY INFORMATION THAT YOU STORED IN YOUR ACCOUNT, INCLUDING AFTER YOUR ACCOUNT IS CLOSED, EXCEPT TO THE EXTENT TO COMPLY WITH ANY APPLICABLE LAWS, AN ORDER OF LEGAL AUTHORITY, OR OUR INTERNAL POLICIES.

MAKEDEAL PROVIDES YOU WITH THE SOLUTION THAT ALLOWS YOU TO REACH THE CANDIDATES DIRECTLY THROUGH THE PLATFORM AND SENT THEM PRE-DRAFTED COMMUNICATIONS. PLEASE BE NOTED THAT WE HAVE NO ACCESS TO AND DO NOT STORE THE CONTENT OF ANY OF YOUR COMMUNICATION AND THEREFORE ARE NOT ABLE TO PROVIDE YOU WITH A COPY OF IT. IT IS YOUR RESPONSIBILITY TO MAINTAIN A COPY OF THE COMMUNICATIONS IN YOUR EMAIL SERVERS AND/OR PLATFORMS WHERE MAKEDEAL SERVICES WERE USED.

WE ARE NOT THE PARTY OF ANY CONTRACT BETWEEN YOU AND THE CANDIDATE NOR PROVIDE ANY INTERMEDIARY SERVICES TO ANY PARTY. WE DO NOT PRE-CHECK OR VERIFY ANY VACANCY AND DO NOT CONDUCT BACKGROUND CHECKS OR OTHERWISE VET THE CANDIDATE. WE DO NOT THE QUALIFICATIONS OF CANDIDATES OTHERWISE AS BASED ON THE INFORMATION YOU PROVIDED AND THEREFORE EXPRESSLY DISCLAIM ANY WARRANTY OR REPRESENTATIONS FOR THE ACCURACY, COMPLETENESS, AND RELIABILITY OF THE CANDIDATE'S CVS SCORINGS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE ARE NOT LIABLE WHATSOEVER FOR YOUR USE OF THE PLATFORM AND THE SERVICES. YOU UNDERSTAND AND AGREE THAT WE ARE NOT AND SHALL NOT BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, SPECIAL, INCIDENTAL OR OTHER LOSS OR DAMAGES, AS WELL AS LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, LITIGATION COSTS OR ANY OTHER LOSSES ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE PLATFORM AND THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY, EVEN IF WE KNOW OR HAS BEEN ADVISED ON THE POSSIBILITY OF SUCH DAMAGE OR LOSS. WE ARE NOT LIABLE FOR ANY THIRD PARTY’S CLAIMS OF ANY NATURE. NONE OF THE SERVICES WOULD BE PROVIDED WITHOUT SUCH LIMITATIONS.

NO INFORMATION YOU OBTAIN FROM US OR THROUGH OUR PLATFORM SHALL CREATE ANY WARRANTY, OR REPRESENTATION NOT EXPRESSLY STATED IN THESE TERMS. WE HAVE NO LIABILITY FOR ANY FAILURE OR DELAY RESULTING FROM ANY REASON BEYOND OUR REASONABLE CONTROL.

WE ARE NOT AND SHALL NOT BE RESPONSIBLE FOR:

YOUR LOSS OF OR INABILITY TO USE OUR SERVICES AND PLATFORM AS WELL AS YOUR NEED TO MAKE AMENDMENTS TO YOUR CONTENT OR BEHAVIOR AS A RESULT OF CHANGES TO THESE TERMS;
YOUR INTERACTIONS WITH OTHER USERS OF THE PLATFORM AND CANDIDATES;
ACTIONS OR INACTIONS OF OTHER USERS AND THIRD PARTIES;
YOUR USE OF THE RESULTS OF THE SERVICE (E.G. SCORINGS) AND ANY DAMAGES, LOSSES OR ADDITIONAL COSTS INCURRED BY YOU OR ANY THIRD PARTIES RELATED HERETO.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU IN CONNECTION WITH THE USE OF THE PLATFORM AND THE SERVICES EXCEED THE AMOUNT OF 100,00 USD. THIS LIMITATION IS CUMULATIVE AND DOES NOT DEPEND ON THE NUMBER OF CLAIMS.

Disputes Resolution

Disputes between users. You are solely responsible for your interactions with other users of the Platform and for resolving any disputes that may arise from your interactions with other users of the Platform.

Disputes with Makedeal. If a dispute arises between you and us, our goal is to provide you with a neutral and cost-effective means of resolving the dispute quickly. In the event of a dispute, we encourage you first to contact us via means of communication tools available on the Platform to try resolving your problem directly with us.

Any dispute or claim relating in any way to your access and use of the Platform and/or Services, or otherwise arising out of or relating to these Terms that cannot be resolved directly between you and us shall be resolved by the respective court of Poland.

Restrictions. You and Makedeal agree that any litigation shall be limited to the dispute between us and you individually. To the fullest extent permitted by law: (i) no litigation shall be joined with any other; (ii) there is no right or authority for any dispute to be resolved on a class-action basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

The following disputes are not subject to the above provisions concerning informal negotiations and mandatory litigation: (i) any disputes seeking to enforce or protect, or concerning the validity of, any of your or our intellectual property rights; and (ii) any claim for injunctive relief.

8. Miscellaneous

Entire Agreement and Severability

These Terms supersede and replace all prior terms, agreements, discussions and proposals regarding the Platform and constitute the entire agreement between you and us with respect to access and use of the Platform and Services, unless otherwise expressly stated in these Terms.

Failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision. If any part of these Terms is found to be unenforceable, then that part will not affect the enforceability of the remaining parts of the Terms, which will remain in full force and effect.

Assignment
